1) Agreement Overview
These Terms & Conditions (“Terms”) apply to all services provided by Nina Creative Designs (“Studio,” “we,” “us”) to the client (“you”). By approving a proposal/quote, paying an invoice/deposit, or requesting work to begin, you agree to these Terms.
2) Scope of Work
All deliverables, timelines, revision limits, and pricing are defined in your proposal/quote and/or invoice (“Scope”).
Any request outside the Scope is considered out-of-scope and may require a new quote, timeline adjustment, and/or additional fees.
3) Project Start, Deposits & Payments
Project start: Work begins after (1) Scope approval and (2) required deposit/payment is received.
Standard projects: Typically 50% upfront / 50% upon completion, unless otherwise stated.
Projects over $2,000: May be split into milestones (commonly 30% deposit, 30% after concepts, 30% before final approval, 10% on completion).
Retainers: Billed monthly in advance. Work is scheduled after payment is received.
Late payments may pause work and delay timelines.
4) Revisions & Feedback
Revision rounds are limited as outlined in your Scope.
Revisions are defined as refinements to an approved direction—not a full restart.
Additional revisions or major changes may be billed at $65- 85/hr.
To keep timelines on track, we may request consolidated feedback from a single decision-maker.
5) Timelines & Client Responsibilities
Timelines are estimates and depend on timely client responses, asset delivery, and approvals.
You agree to provide required content/assets (logos, copy, photos, logins, brand info, etc.) by the requested dates.
Delays in feedback or assets may result in schedule shifts.
6) Approvals & Deliverables
You are responsible for reviewing and approving drafts, proofs, and final deliverables.
Once final approval is given (or files are delivered), additional changes are considered new work and may be billed.
7) Ownership, Licensing & Portfolio Use
7.1 Final Deliverables
Upon full payment, you receive ownership of the final, approved deliverables as defined in the Scope.
7.2 Working Files / Source Files
Editable/source files (e.g., AI, PSD, INDD, Figma files, project files) are included only if stated in the Scope. Otherwise, they may be provided for an additional fee.
7.3 Concepts Not Selected
Unused concepts, drafts, and explorations remain the property of Nina Creative Designs.
7.4 Third-Party Assets
Fonts, stock photos, plugins, themes, templates, music, and other third-party assets may require separate licenses. You are responsible for ongoing licensing costs unless otherwise stated.
7.5 Portfolio Rights
Unless a signed NDA states otherwise, we may display completed work in our portfolio, website, social media, and marketing materials.
8) Website-Specific Terms
Websites may include third-party tools (hosting, plugins, themes, builders). Some features require ongoing subscriptions.
We are not responsible for third-party outages, platform changes, or service interruptions.
Post-launch edits, new pages, feature additions, or content updates are not included unless specified.
9) Maintenance & Ongoing Support
Ongoing support (maintenance, updates, security, backups, SEO monitoring, content updates) is available via retainer or maintenance plan.
If you decline ongoing maintenance, you assume responsibility for updates, security, and backups after handoff.
10) Cancellations, Pauses & Rescheduling
Deposits are generally non-refundable once work has started.
If a project is paused by the client for more than 14 days, we may reschedule based on availability.
If the project is canceled, you are responsible for payment for work completed to date.
11) Refunds
Due to the custom nature of creative services, refunds are not guaranteed.
If a dispute arises, we will review the Scope and attempt to resolve concerns fairly through revisions within the agreed limits or a mutually agreed plan.
12) Communication
Primary communication is typically via email unless otherwise agreed.
Standard response time is generally within 24 business hours.
13) Confidentiality
We will treat your non-public business information as confidential.
You agree not to share our proprietary processes, templates, or internal documentation.
14) Limitation of Liability
We are not liable for indirect, incidental, or consequential damages.
Our total liability is limited to the amount paid for the specific services giving rise to the claim.
15) Legal & Usage
You are responsible for ensuring your content is accurate and compliant (claims, testimonials, legal disclaimers, accessibility requirements, industry regulations).
We do not provide legal advice.
16) Acceptance
By approving a proposal/quote, paying an invoice, or requesting work to begin, you acknowledge that you have read and agree to these Terms.
